General Terms and Conditions of Sale - Wholesale.vibraliss.com
These terms exclusively govern the contractual relationships between CYRO SARL and its professional clients. Any order implies unconditional acceptance of these General Terms and Conditions of Sale (GTC), and they cannot be modified by contrary stipulations in documents issued by the client.
1. Account Opening
Any new client wishing to make purchases from CYRO SARL must provide a K-Bis extract dated less than three months old or any official document proving their involvement in the relevant professional activity.
2. Invoicing
The minimum amount required for a first order is set at 250 euros excluding VAT. For subsequent orders, any order under 150 euros excluding VAT will incur additional billing. The displayed prices are in euros excluding VAT, with goods shipped from France.
3. Delivery and Shipping
The delivery times provided by CYRO SARL are for guidance purposes only and are not guaranteed, except with prior written commitment from us. Orders for overseas destinations or DOM-TOM will be shipped freight collect. Shipping and packaging costs are offered for any order delivered in mainland France amounting to 350 euros excluding VAT or more.
4. Private Sale and Marketplaces
The resale of products supplied by CYRO SARL through private sale platforms (such as Showroomprivé, Ventes Privées, etc.) or marketplaces (Amazon, eBay, etc.) is strictly prohibited, unless there is prior and express agreement from CYRO SARL. This restriction also applies to exclusive Vibraliss products sold by other suppliers.
5. Transport of Goods
Shipped products travel at the recipient's risk. It is the recipient's responsibility to make specific reservations in case of damage or shortage and to note them on the delivery receipt, in accordance with articles of the Commercial Code. These reservations must be sent to CYRO SARL within two working days to allow claims to be processed. It should be noted that the mention "subject to verification" has no legal value according to Article 105 of the Commercial Code.
6. Claims
All packages are strictly inspected before shipment. The customer must check the condition of the goods upon receipt, including the integrity of the packaging. In case of defective products or shipping errors, the claim must be made within five working days of receipt. After this period, no claim will be accepted, and no exchange or return will be authorized. Claims should be addressed to:

7. Payment Terms
Invoices are payable in cash by check upon delivery or collection of goods. In the case of shipment, payment must be made by cash on delivery or advance payment before shipment. Any request for a deferral without prior written agreement will result in the immediate suspension of previously granted discounts and payment terms.
In accordance with Law No. 80-336 of May 12, 1980, CYRO SARL reserves ownership of the goods delivered until full payment of the agreed price. In the event of non-payment, even partial, CYRO SARL may, without prejudice to its other rights, demand the return of the delivered goods, at the customer's expense and risk, by registered letter with acknowledgment of receipt. An inventory of unpaid goods held by the customer may be drawn up immediately.
8. Disputes
In the event of a dispute relating to the interpretation or execution of these General Terms and Conditions of Sale, the parties agree that the Commercial Court of Paris will have exclusive jurisdiction. These GTC are governed by French law and may be modified at any time without notice by CYRO SARL.
By accepting these conditions, the customer acknowledges having read and accepted all the provisions of these GTC, which take precedence over any other commercial document.
